The primary purpose of the Audit Committee is to monitor the integrity of the financial statements, to review, understand and evaluate the Company's internal financial, risk, and other internal controls and their associated systems, to make recommendations to the Board in relation to the appointment of the external auditor and to monitor and review the external auditor's independence, objectivity and effectiveness, taking into consideration relevant US and UK professional and regulatory requirements.

The primary purpose of Remuneration Committee is to make recommendations to the Board on the Company's framework or broad policy for Executive Remuneration and its costs. The Committee shall also have delegated responsibility for determining the remuneration and benefits of executive directors, the Chairman and certain senior executives. The remuneration of non-executive directors shall be a matter for the Chairman and executive members of the Board.
